Acceptance of Terms
By engaging Canton Web Agency ("we", "us", or "our") for any service, you agree to these Terms of Service. If you do not agree, please do not proceed. These terms apply alongside any individual project agreement or statement of work (SOW) we sign with you.
Engagement & Scope of Work
Each project is governed by a signed Statement of Work that defines deliverables, timeline, and price. Any work outside the agreed SOW requires a written change request. We reserve the right to decline scope changes that compromise quality or feasibility.
Payment Terms
Standard terms: 50% upfront to commence work, 50% on launch. For projects over HK$150,000, milestone payments (30/30/30/10) are available. Invoices are due within 14 days. Late payments may pause work. Express Delivery surcharge (20%) applies to rushed timelines.
Intellectual Property
Upon full payment, all intellectual property rights for final deliverables (source code, design files, assets) transfer to the client. We retain the right to showcase completed work in our portfolio. Third-party libraries and tools remain under their respective licenses.
Warranties & Disclaimers
We warrant that our work will be free from material defects for 30 days post-launch. We do not guarantee specific business outcomes (revenue, traffic, conversions) as these depend on factors beyond our control. Third-party services (hosting, APIs) are subject to their own terms.
Limitation of Liability
Our total liability for any claim arising from our services is limited to the total fees paid for the specific project. We are not liable for indirect, incidental, or consequential damages, including lost profits or data loss not caused by our direct negligence.
Confidentiality
Both parties agree to keep confidential information private. We treat all client data, business logic, and proprietary information with the same care as our own. Mutual NDAs are available upon request before project discussions begin.
Termination
Either party may terminate the engagement with 14 days written notice. Upon termination, the client pays for work completed up to the termination date. Final deliverables are released upon full payment. Ongoing maintenance contracts can be cancelled with 30 days notice.
Governing Law
These terms are governed by the laws of the Hong Kong Special Administrative Region. Any disputes shall be resolved in the courts of Hong Kong, unless otherwise agreed in writing in a project-specific agreement.
